General description:

A rack usage agreement refers to a situation where the supplier delivers a rack for the customer's use to display the supplier's products. The stand can be of any design.

The rack is intended only for the supplier's products and you may not put any other products on it without the supplier's permission. The rack is the property of the supplier and it is only on loan to the customer for as long as the customer or the supplier deems the rack to be necessary. The customer is liable for damages to the rack, vandalism and theft to the supplier.

Terms

The product stand is intended only for the supplier's sales articles and other material according to the supplier's instructions. The supplier has the right to immediately remove from the rack all products and other material not supplied by the supplier. The supplier has the freedom to decide on the product selection that is on the rack at any given time, however, by agreeing and keeping the customer aware of changes and staying with the customer in the selected product selection. The product stand can be delivered to the customer either assembled or unassembled. The product rack is the property of the supplier and the rack is only on loan from the customer. The customer is responsible for damage to the rack, vandalism and possible theft, and is then liable for compensation to the supplier, if the rack is not returned intact to the supplier at the end of the rack cooperation. Normal wear and tear is included in the scope of using the stand, and wear and tear comparable to normal is not taken into account as a basis for compensation. The compensation is defined on a case-by-case basis and the amount of compensation cannot, however, exceed the purchase price of the rack valid at any given time.

Rack ownership

Ownership of the racks always remains with the supplier. In the event of bankruptcy or other exceptional circumstances, all racks and materials delivered by the supplier that the customer has not paid for are the property of the supplier. At the end of the cooperation, the supplier and the customer can discuss the redemption of the racks separately and agree on a case-by-case compensation.

Division of responsibility

The supplier is responsible for the delivery of the rack and related factors. If manufacturing defects occur in the stand, the supplier must be notified immediately. The customer has an obligation to monitor the rack so that it does not put any person or property at risk, especially in situations where the rack has been damaged due to vandalism, wear or manufacturing defects. In the event of damage, the supplier's liability is limited to the value of the rack, indirect damage or damage related to a third party is not compensated.

The customer is responsible for the rack, possibly assembling and displaying the rack. The customer is responsible for damage to the stand, vandalism and possible theft. Liability ends only when the contract has been concluded and the supplier has received the returned rack in its own warehouse.

Termination of the contract

The contract can be terminated by either party. The return of the stand and its time are mutually agreed upon. The supplier reserves the right to pick up the rack at a time it deems convenient, and the customer will take care of the rack until it is picked up on behalf of the supplier. The supplier has the right to invoice the company for an amount corresponding to the value of the rack, if the rack cannot be returned to the supplier or the rack is damaged or worn so badly that it no longer serves its purpose, excluding wear caused by normal use.

Rack complement

The customer or a representative of the supplier can be responsible for the maintenance of the product stand. If the supplier's representative is responsible for the maintenance of the stand, the best result is that the customer also has a designated contact person. The person nominated by the customer, who is responsible for the maintenance of the product rack on the customer's side, supports the commerciality of the rack. We hope that the person named by the customer will be able to regularly post pictures of the rack via email, whatsapp or other separately agreed method and/or a sales report. The contact information (name, phone number and e-mail) of the person responsible for the maintenance of the rack can be provided to the supplier when agreeing on the delivery of the rack.

Liberty

If completing the rack, erecting it or storing the products requires special access rights or access to the rack is restricted, for example through a third party, it is the customer's responsibility to provide the supplier's representative with access rights to the rack and to the premises where the rack's products are stored. The customer can also move the rack and/or the products to be stored otherwise available to the supplier's representative if necessary. Costs related to access rights can be agreed separately, depending on the situation.

Limitation and entry into force of the agreement:

All racks provided by the supplier, where the products represented by the supplier are presented. The contract is considered to have been created when the supplier and the customer agree on the delivery of the product rack to the customer without a separate contract or signature. The contract is confirmed when a written record of the delivery of the stand is found in the supplier's information system, which confirms the delivered stand, the delivery time of the stand, the customer to whom the stand has been delivered and the delivery address.
